Terms of Use

These Terms of Use (“Terms”) govern your access to and use of AuditSpark at auditspark.io (the “Service”), operated by Purple Kiwi Advisory, LLC, doing business as Purple Kiwi AI (“Purple Kiwi”, “we”, “us”, “our”). By accessing or using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the Service.

1. The Service

AuditSpark is a software tool that analyzes the publicly available content of a website you specify and produces an advisory report — including a category scorecard, written recommendations, and an action plan — generated using artificial intelligence. The Service is informational and advisory in nature. See Section 8.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.

3. Accounts

Subscriptions require an account, which uses passwordless sign-in via a link sent to your email. You are responsible for maintaining the security of your email and account and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts as described in Section 14.

4. Subscriptions, Billing & Cancellation

The Service offers free audits, a one-time Pro Report, and recurring subscriptions (Freelance and Agency), with monthly and annual billing options. Paid plans are sold and processed by Polar as our merchant of record; your purchase is also subject to Polar’s terms. Recurring subscriptions renew automatically until canceled. You may cancel at any time, and your plan remains active through the end of the current billing period. Fees, plan features, and quotas are described at checkout and on our pricing page and may change with notice. All payment, refund, and cancellation matters are governed by our Refund Policy.

5. Acceptable Use

You agree not to:

• use the Service in violation of any law or regulation, or to infringe anyone’s rights;
• submit a website for analysis that you do not own or otherwise have the right to have analyzed (see Section 6);
• attempt to circumvent quotas, rate limits, usage caps, or access controls, or to gain unauthorized access to the Service or its systems;
• interfere with, disrupt, overload, or attempt to disable the Service;
• resell, sublicense, or redistribute the Service or audit credits except as expressly permitted by your plan;
• use the Service to build or train a competing product, or to scrape or harvest the Service itself; or
• introduce malware or use the Service to transmit harmful or unlawful material.

6. Websites You Submit

When you submit a URL (or designate a competitor or other URL for analysis), you represent and warrant that you have the necessary rights and authority to request analysis of that website and its publicly available content, and you authorize us (and our service providers) to access and retrieve that public content for the purpose of generating your report. You are solely responsible for the URLs you submit. This is important because the Service fetches third-party websites on your instruction.

8. Intellectual Property

Your inputs and reports

As between you and us, you retain ownership of the information you submit (such as URLs and context), and you may use the audit reports we generate for you for your own business purposes. You grant us a limited, worldwide license to use your inputs and the resulting data solely to operate, provide, secure, and improve the Service — including the right to retain and use aggregate, de-identified statistics derived from audits (which do not identify you, your website, or your report).

Our property

The Service, including its software, design, text, and branding (including “AuditSpark” and related marks), is owned by Purple Kiwi or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. You may not use our marks without our prior written consent.

9. Feedback

If you send us suggestions or feedback, you grant us a non-exclusive, royalty-free, perpetual license to use it to improve the Service, without obligation to you.

10. Third-Party Services

The Service relies on and may link to third-party services (for example, payment, email, AI, hosting, and analytics providers). We are not responsible for third-party services or websites, and your use of them may be governed by their own terms and policies.

11. Disclaimer of Warranties

The Service and all reports are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any report, score, or recommendation is accurate, complete, or will produce any particular result.

12. Limitation of Liability

To the maximum extent permitted by law, Purple Kiwi and its officers, members, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total aggregate liability for all claims relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Purple Kiwi and its officers, members, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, your submission of any URL you did not have the right to submit, or your violation of any law or third-party right.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including Sections 7, 8, 11, 12, 13, and 15) will survive. On termination, your data is handled as described in our Privacy Policy, including its data-retention schedule.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at support@auditspark.io and attempt to resolve the dispute informally in good faith for at least 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.

16. Changes to the Service and Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; we will indicate the “Last updated” date above, and material changes may be communicated through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
